Licensing and Payment Services Agreement

iSiri’s Discover is a resource center provided by IDEASALIVE INC. (“the Platform”) where users can copy templates of interest and customize them for their own applications. Types of templates include agent templates, workflow templates, and image flow templates. If you choose to publicly release your template in the Template Library for use by other users (“the Service”), please read, understand, and abide by the “iSiri Template Licensing and Payment Services Agreement” (“this Agreement”). If you disagree with this Agreement, do not proceed in any form of confirmation (including but not limited to agreeing to this Agreement, submitting your template to the Template Library, etc.) or use this Service. If you voluntarily agree or use this Service, it is considered that you have fully understood this Agreement and agree to be bound by this Agreement and other related agreements and rules (including but not limited to the “IDEASALIVE User Agreement,” “IDEASALIVE Privacy Policy,” “IDEASALIVE Data Handling Agreement,” “IDEASALIVE Usage Guidelines”), which can be found directly on the Platform. We may also occasionally publish operational rules, policies, guidelines, and procedures, all of which are part of this Agreement. If you do not agree with this Agreement and other related agreements and rules, you shall not access or use this Service. Using the Service Before IDEASALIVE publicly releases your template, you must confirm and agree to the following terms: No Plagiarism: IDEASALIVE encourages original content. You must ensure that the templates and other content you submit for public release are your own original creations and have not been previously published on the iSiri platform. IDEASALIVE reserves the right to request proof of content ownership. If IDEASALIVE finds that any template or content is plagiarized or not original, IDEASALIVE has the right to remove such templates and may seek compensation for any damages caused by your templates or content. Template Publication: You may submit templates that you have created or are authorized by the rights holder at the designated entry according to the template library interface prompts. Your submitted templates will be reviewed by the platform backend. For templates that meet the production requirements and pose no obvious legal risks, the platform will publicly release these templates in the Template Library. Your templates will be attributed to you on our official website. You may edit and modify your templates via the official website, but we will still review them before they are listed. Content Safety: Templates (including but not limited to prompts, plugins, and knowledge bases) must not contain activities that violate relevant laws and regulations. Works must not involve unhealthy, obscene, pornographic, or defamatory content. Templates and content must comply with national laws and regulations, platform rules, respect public order and morals, not infringe on third-party rights, and avoid pornography, clickbait, commercial advertising, etc. Content Licensing: You grant IDEASALIVE INC. and its affiliates a worldwide, free, non-exclusive, sublicensable right to your templates (including the content of submitted case documents), which includes rights to copy, translate, modify, compile, distribute over information networks, adapt, and create derivative works, perform, and display. The scope of this licensing includes, but is not limited to, reproduction, inclusion in the iSiri Template Library, making available to other iSiri users for copying and use, as well as for promotions related to IDEASALIVE INC. or its affiliates. Additionally, you agree that IDEASALIVE INC. may add its commercial branding to the content you upload during such promotional activities. Template Rights Protection: If users illegally use or extend beyond the agreed scope to use your published templates for other purposes, or in any other way that may affect your interests, you may contact the company or file a complaint with the company. The company will verify the user’s conduct and handle it according to the service agreement between the platform and the user and related platform rules. You understand that the company is not liable for any user’s conduct. Paid Templates: To encourage users to share best practices, the platform plans to offer users the opportunity to earn income (“Template Income”) from publishing templates. If you wish to set your template as a paid template, please specify the unit price of the template when submitting it. Once approved by the platform, the platform will list your template as a paid template according to the set price. You must ensure that the price set is fair, reasonable, and in line with market practices. Template Income: Users pay for paid templates through the template library page, and the platform collects the fees. After deducting necessary service fees, your template income will be credited. If the remaining amount after deducting service fees has more than two decimal places, we will round to the nearest cent. Template Income Withdrawal: The platform will later introduce a template income withdrawal feature. Once this feature is available, the content will take effect. Until then, we reserve the right to modify the content. For withdrawal, we will verify the real name of the template income account holder when the withdrawal function is launched. You agree that we will collect, store, and use the real name information (including name, mobile number, ID information, etc.) of the template income account holder to match with the identity information submitted by the applicant during withdrawal. You voluntarily provide this information, and you have the right to refuse. If you do not provide relevant information or the information provided is not true and valid, you will not be able to use the withdrawal function. We will strictly protect the security of your information with appropriate systems, security technologies, and procedures to prevent unauthorized access, use, or disclosure. After completing the real-name verification of the template income account, you may apply for withdrawal of template income according to the platform’s withdrawal rules in effect at the time. After the platform's review, the company or a designated affiliate company (Hainan Today's Headlines Technology Co., Ltd.) will pay you the withdrawal amount. Template Income Withdrawal Rules: Once the withdrawal function is launched, you can withdraw your template income according to the rules published by the platform. Please note that the company may adjust the template income withdrawal rules based on operational planning, market conditions, operational results, policy changes, and other factors. Such adjustments will take effect once announced, and the company will notify users through product interfaces, in-platform messages, etc. These changes are related to your direct interests, so please pay attention in a timely manner. Receipt Information: Please understand and agree that once the withdrawal function is available and you withdraw template income, you agree to the related agreement of the corresponding payment platform and provide the real name information required by that payment platform according to its prompts. You also agree to authorize that real name information to be provided to the company and designated affiliate companies for identification of the publisher of the paid template and to clarify the true identity of the recipient of the template income, or for other purposes specified by laws and regulations. If you refuse to provide this information, unclear authorization may lead to an inability to receive template income, thereby preventing the withdrawal of template income. Tax Deductions: You agree that you are responsible for the personal income tax, value-added tax, and additional taxes incurred under this agreement. The company or designated affiliate companies may provide your personal data and income data on the platform to tax authorities as required. The company or designated affiliate companies have the right to withhold and remit personal income tax and other related taxes on the template income collected through the company or designated affiliate companies (if applicable). User Refunds: You understand and agree that if users apply to the company for a refund of paid template fees, or if a refund situation arises under other terms of this agreement, the company has the right to assess and decide whether to refund the user according to relevant platform rules. If the company assesses it as a normal user refund without malicious refund situations, the company will deduct from your template income. If your template income is insufficient for the deduction, the company has the right to claim compensation from you. User Claims: You understand and agree that if you breach laws, regulations, this agreement, the “IDEASALIVE User Agreement,” or related platform rules, and this leads to users directly claiming against the company, you shall independently communicate and settle with the user and compensate the user. The company is not obligated to bear any compensation liability; however, if the company has advanced compensation payments to the user in an emergency, the company will deduct from your template income. If your template income is insufficient for the deduction, the company has the right to claim compensation from you. Template Management: Publicly released templates and template income can be accessed and managed via the following path: Template Income. Service Changes, Interruptions, and Termination If non-company factors cause the service to be interrupted or terminated, the company has the right but no obligation to ensure you receive special notifications or alerts. When you discover that you cannot normally use the service, you may contact customer service. After the termination of this service, you have no right to demand that the company continue to provide you with template rights or perform any other service-related obligations. However, this does not affect the normal use of the paid templates you published before the termination. You must ensure that it does not affect users’ normal use of the paid templates; otherwise, you must bear the corresponding responsibilities, and if user claims or refund requests arise, you must compensate or bear the refund costs. Also, it should not affect the rights and obligations arising from this agreement before the termination due to your reasons causing the company to suffer third-party claims, administrative penalties, etc. You must compensate the company for the resulting losses and/or incurred costs
